About Collective Acquisition Corp. II Warrant

Collective Acquisition Corp. II Warrant is a derivative security issued by Collective Acquisition Corp. II, a Cayman Islands–incorporated special purpose acquisition company (SPAC) headquartered in Miami, Florida. The warrant represents the contractual right, but not the obligation, to purchase Class A ordinary shares of Collective Acquisition Corp. II at a predefined exercise price, subject to specified terms and conditions. Each whole warrant entitles its holder to acquire one Class A ordinary share at a fixed exercise price, with only whole warrants being exercisable and fractional warrants not trading separately. The warrants are structured to become exercisable only after the SPAC completes its initial business combination, and they remain outstanding for a limited term, expiring a set number of years after that transaction or earlier upon redemption or liquidation. In the SPAC capital structure, Collective Acquisition Corp. II Warrant serves as an additional equity-linked instrument that can enhance the potential economic participation of unit investors and private placement warrant holders, while providing the company with a mechanism to raise equity capital upon exercise in the post-combination market environment.
